Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between Pan Labs, Inc., a Delaware corporation with its principal place of business at 262 9th Street, Brooklyn, New York 11215 ("Pan," "we," "us," or "our"), and the parent or legal guardian ("Parent," "you") who enrolls a minor ("Teen") in the Pan digital wellness companion service (the "Service"), accessible at pantalaimon.ai and through supported messaging channels (WhatsApp, Telegram, SMS).

By enrolling a Teen, clicking "I Agree," or otherwise using the Service, you confirm you have read, understood, and accepted these Terms on your own behalf and on behalf of the enrolled Teen.

1. About the Service

Pan is an automated, conversational artificial-intelligence companion designed to help teens (ages 13–17) build self-awareness, manage screen-time habits, and practice evidence-informed behavioral techniques such as Motivational Interviewing. The Service is currently in Beta, meaning features, prompts, and safety behaviors are evolving and may change without notice.

2. Eligibility and Age Gate

2.1 Parent Eligibility. You must be at least eighteen (18) years old, the parent or court-recognized legal guardian of the Teen you wish to enroll, and legally competent to enter into this agreement.

2.2 Teen Eligibility. The Service is offered exclusively to minors aged thirteen (13) through seventeen (17), inclusive. The Service is not offered to children under 13, and Pan does not knowingly collect personal information from children under 13. Upon a Teen's 18th birthday, the Service will transition to the adult Terms or be terminated, at the user's election.

2.3 No Self-Enrollment by Minors. A Teen may not enroll themselves. Enrollment is initiated, verified, and contractually accepted solely by the Parent.

3. Parental Consent and Binding Authority

3.1 Verifiable Parental Consent. Pan obtains verifiable parental consent in accordance with the Children's Online Privacy Protection Act ("COPPA") and applicable state laws governing minors' digital services. Although users are 13+, Pan voluntarily applies a COPPA-style consent layer due to the sensitivity of the data and the Teen's status as a minor.

3.2 Parent Binds the Teen. By completing enrollment, you (a) accept these Terms in your individual capacity; (b) expressly accept these Terms on behalf of the enrolled Teen as their legal representative; and (c) represent that you have the authority to bind the Teen to all obligations, waivers, releases, limitations of liability, and dispute-resolution provisions herein, to the maximum extent permitted by New York law.

3.3 Voidability Notice. You acknowledge that, under the laws of certain jurisdictions, a minor may have the right to disaffirm a contract upon reaching majority. To the extent permitted by law, the Teen's continued use of the Service after reaching the age of eighteen (18) constitutes ratification of these Terms.

3.4 Revocation of Consent. You may revoke consent and terminate the Teen's account at any time by emailing support@pantalaimon.ai. Revocation is prospective and does not affect lawful processing already performed.

4. The Clinical Disclaimer (Read Carefully)

4.1 Not a Medical Device. Pan is an educational and behavioral self-help tool and an AI companion. Pan is NOT:

4.2 No Diagnosis or Treatment. Pan does not diagnose, treat, cure, mitigate, or prevent any disease, disorder, or condition, including, without limitation, Attention-Deficit/Hyperactivity Disorder (ADHD), Internet Gaming Disorder, depression, anxiety, substance-use disorders, or eating disorders. Any language the AI uses about "habits," "patterns," or "self-awareness" is coaching language, not clinical assessment.

4.3 AI Nature; No Human Therapist. Conversations are generated by a large language model (currently powered by Anthropic, PBC). Pan is not a human, has no professional license, and may produce inaccurate, incomplete, or contextually inappropriate output. Do not rely on Pan for medical, psychological, legal, or emergency decisions.

4.4 Consult a Professional. If you or the Teen has health concerns, you should consult a licensed clinician. Pan is not a replacement for professional care, and use of Pan should not delay or substitute for such care.

5. Crisis Escalation Protocol

5.1 Pan Is Not an Emergency Service. The Service is not a crisis hotline, emergency response system, or mandated-reporter substitute. If a Teen is in immediate danger, experiencing a medical emergency, or contemplating self-harm or harm to others, call 911 immediately.

5.2 988 Routing. If Teen inputs indicate distress, self-harm ideation, or other elevated safety signals, Pan will respond with crisis-resource referrals, including the 988 Suicide & Crisis Lifeline (call or text 988; chat at 988lifeline.org), and where appropriate the Crisis Text Line (text HOME to 741741).

5.3 Parental Safety Flags. Pan operates a tiered internal safety-signal framework. Where Teen inputs meet defined escalation criteria, Pan may notify the enrolled Parent through the parent channel, share the minimum information necessary to enable parental response, and recommend professional support. You consent to this notification on behalf of the Teen as a condition of enrollment.

5.4 Best-Efforts Only. Safety detection is automated, probabilistic, and inherently imperfect. Pan does not guarantee that any particular risk indicator will be detected, escalated, or routed within any specific timeframe. You waive any claim premised on a failure of automated detection, to the maximum extent permitted by law.

6. Acceptable Use

You and the Teen agree not to: (a) use the Service to commit unlawful acts; (b) attempt to extract, reverse-engineer, or interfere with the AI model or Pan's safety systems; (c) impersonate another person; (d) input the personal information of third parties without authorization; or (e) use the Service to harass, threaten, or defame others. Violations may result in immediate termination.

7. Beta Service; Modifications

The Service is provided on a Beta basis "AS IS" and "AS AVAILABLE." Features may be added, modified, or removed. We may update these Terms by posting a revised version at pantalaimon.ai and, for material changes, notifying you via the email associated with your enrollment. Continued use after the effective date constitutes acceptance.

8. Fees

The Service may be offered free of charge during Beta. If paid features are introduced, applicable fees and billing terms will be disclosed at the point of purchase and incorporated by reference herein.

9. Intellectual Property

Pan retains all right, title, and interest in the Service, including software, prompts, models, designs, and brand. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes during the Term.

10. User Content

The Teen and Parent may submit text messages, responses, and other content ("User Content"). You grant Pan a limited, worldwide, royalty-free license to host, process, and use User Content solely to operate, secure, and improve the Service, subject to the strict limitations in our Privacy Policy — including the prohibition on using Teen free-text chat logs for advertising or for third-party model-training purposes.

11. Text Messaging (SMS)

If you opt in to text messaging at enrollment, you consent to receive recurring automated SMS messages from Pan at the phone number(s) you provided, including on behalf of your teen at the number you provided. Message frequency varies. Message & data rates may apply. You may reply STOP at any time to opt out, and HELP for help. SMS opt-in is optional and consent is not a condition of purchase or of using Pan — you may instead choose WhatsApp or Telegram. How we handle messaging data is described in our Privacy Policy.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NO STATEMENT BY PAN OR ITS AI CONSTITUTES MEDICAL, PSYCHOLOGICAL, LEGAL, OR PROFESSIONAL ADVICE.

13. Limitation of Liability

13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PAN LABS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA; OR DAMAGES FOR EMOTIONAL DISTRESS, LOSS OF PRIVACY, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 PAN'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100.00) OR (B) THE TOTAL FEES PAID BY YOU TO PAN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13.3 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.

14. Indemnification

You agree to defend, indemnify, and hold harmless Pan and its affiliates from any claim arising out of (a) your or the Teen's breach of these Terms, (b) misuse of the Service, or (c) any User Content you submit, except to the extent caused by Pan's gross negligence or willful misconduct.

15. Termination

Either party may terminate the Service at any time. Upon termination, the Teen's account will be deactivated. Data deletion is governed by the Privacy Policy. Sections 4, 5, 9, 12, 13, 14, 16, and 17 survive termination.

16. Governing Law; Jurisdiction; Dispute Resolution

16.1 Governing Law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

16.2 Informal Resolution First. Before filing any formal claim, you agree to contact support@pantalaimon.ai and attempt good-faith resolution for at least sixty (60) days.

16.3 Exclusive Jurisdiction. Subject to Section 16.4, the parties consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and waive any objection based on forum non conveniens.

16.4 Class-Action Waiver; Jury Waiver. To the maximum extent permitted by law, each party waives any right to a jury trial and to participate in any class, collective, or representative action.

17. Miscellaneous

17.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.

17.2 Severability. If any provision is found unenforceable, the remainder shall remain in full effect.

17.3 No Assignment by User. You may not assign these Terms. Pan may assign in connection with a merger, acquisition, or sale of assets.
